Today English User Service Agreement

Important Notice:

Welcome to the "Today English" application and related services! Before using "Today English", please read this Agreement carefully and make sure you fully understand it, especially the provisions marked in bold, including provisions that exempt or limit our liability, provisions that limit users' rights, and provisions on dispute resolution and jurisdiction. These provisions have been brought to your attention prominently; please read them carefully.

By clicking to agree to this Agreement, or by registering, logging in or using "Today English" in any way, you are deemed to have fully read, understood and accepted all of this Agreement, which then becomes legally binding between you and us. If you do not agree with any part of this Agreement, please stop using the service immediately. If you have any questions about this Agreement, please contact us using the details set out below.

If you are under 18, please read this Agreement together with your parent or other guardian. If you are under 14, please use the service under your guardian's guidance and only after your guardian has agreed to all of this Agreement.

1. Scope of the Agreement

1.1 This Agreement is made between you (the "User") and Wuhan Guanshandu Technology Co., Ltd. ("we", "us" or the "Company") regarding your download, installation and use of the "Today English" application and related services.

1.2 "Today English" means the English reading and vocabulary learning application developed and operated by Wuhan Guanshandu Technology Co., Ltd., including its iOS version, Android version and any other versions.

1.3 This Agreement consists of the main text, the "Today English Privacy Policy", and all rules, announcements, operating guidelines and feature descriptions that we have published or may publish in the future (collectively, the "Rules"). All Rules form an integral part of this Agreement and have the same legal effect as the main text.

1.4 The version of this Agreement and the Rules shown in the app when you use the service is the one that applies.

1.5 If our business is reorganized, we may assign all or part of our rights and obligations under this Agreement to an affiliate or business successor and will notify you by announcement or similar means. Users may not assign any rights or obligations under this Agreement without the Company's written consent.

2. Service Content and Nature

2.1 "Today English" is an English reading and vocabulary learning tool. It currently offers English article reading (from subscribed third-party news sources), tap-to-look-up definitions and word pronunciation, sentence translation, a word book, vocabulary review (including word lists for the Zhongkao, Gaokao, CET-4, CET-6, postgraduate entrance exam, TOEFL, IELTS and GRE), reading statistics, a vocabulary size test and a reading level assessment. The features actually provided in the app prevail.

2.2 [Third-Party Articles] Users understand and confirm that:

• Articles on the home page come from the third-party public news websites that the user subscribes to (currently including CNN and AP News). The service only provides a link index of those websites' public pages, difficulty estimates and in-app browsing: articles are fetched by the user's device directly from the original website, and the original web page is displayed in the in-app browser. We do not edit, rewrite or republish articles, and we do not store article content on our servers.
• Copyright and other rights in articles belong to the original website or the relevant rights holders. Views expressed in articles are those of the original author or website and do not represent our position. We make no guarantee as to the authenticity, accuracy, timeliness or completeness of article content; please read critically and judge for yourself.
• Original web pages may contain advertisements, links or other content placed by the original website, for which that website is responsible. The original website may change its page structure, restrict access or remove content, so articles may become unavailable or display incorrectly. We will make reasonable efforts to adapt, but do not guarantee continued availability.
• The article reading feature is for the user's personal English learning only. Users may not republish, redistribute or commercially use article content obtained through the service, or use it in any other way that infringes the legitimate rights and interests of the rights holders.

2.3 If a news website operator or other rights holder believes that a feature of the service infringes its legitimate rights and interests, it may notify us using the contact details in this Agreement, together with proof of rights and preliminary evidence. After verification, we will promptly take necessary measures, such as removing the source from the news source catalog.

2.4 [Dictionary and Learning Content] Word definitions, phonetic transcriptions, example sentences, pronunciations and exam word lists provided by the service come from public dictionary data and materials compiled by us, and are for learning reference only. Exam word lists do not represent official exam syllabi, and the results of the vocabulary size test and reading level assessment are estimates, not a formal evaluation of the user's English level.

2.5 [AI Translation] Sentence translations are generated automatically by a third-party large language model service (Zhipu AI's GLM model). Users acknowledge and understand that translations are AI-generated, may contain errors, omissions or inaccuracies, are for learning reference only, and should not be used as formal translations or for legal, medical, business or other professional purposes.

2.6 [Learning Data Stored Locally] The user's word book, review history, reading history and statistics, favorites, subscribed sources and assessment results are stored only on the user's device. We do not provide cloud backup or sync. Uninstalling the app, clearing its data, or changing or losing the device may cause this data to be permanently lost without any possibility of recovery.

2.7 The service is currently provided free of charge and has no paid features. If we introduce paid services in the future, we will publish the fees and rules separately and obtain the user's explicit consent before any purchase; users are free to decide whether to purchase.

2.8 We do not currently display advertisements in the app. If we do so in the future, we will label them as advertisements as required by law, provide a way to close them, and update this Agreement and the "Today English Privacy Policy" accordingly.

2.9 We may adjust, change, suspend or terminate some features based on business development, legal and regulatory requirements, technical upgrades, security and risk control or similar needs, and will inform users through in-app notices, announcements or similar means.

2.10 To the extent permitted by law, the service is provided "as is" and "as available". We make no guarantee as to the timeliness, continuity or error-free operation of the service, or the accuracy and completeness of word lookup, translation or recommendation sorting results. However, this does not apply to damage caused to users by our intentional misconduct or gross negligence.

3. Account Registration and Use

3.1 Users can use article reading, word lookup, translation, vocabulary review, the word book, reading statistics and assessments without logging in. Setting a nickname and avatar, viewing system messages, submitting feedback and managing an account require logging in.

3.2 The service uses mainland China mobile numbers for login and supports one-tap login with the device's number and login with an SMS verification code. A number that has not been registered will have an account created automatically the first time it is used to log in. Users shall use a mobile number that they lawfully hold, and shall change it in the app promptly if their number changes. Users bear any losses caused by using another person's number or by their number becoming invalid.

3.3 Ownership of user accounts remains with the Company; after registering, the user obtains the right to use the account. Users shall keep their phone and SMS verification codes safe and are responsible for all activity under their account. Unless there is evidence that it was caused by us, any action taken after logging in with a correct verification code or device number verification is deemed to be the user's own action.

3.4 A user account may be used only by the user personally and may not be gifted, lent, rented, transferred, sold or otherwise licensed to others. Users bear any losses arising from a breach of this clause, and we may restrict or ban the account concerned.

3.5 Users shall not:

• use a nickname identical or similar to that of Party and state leaders, well-known persons or other users, or impersonate us or our customer service staff;
• use a nickname or avatar containing illegal or harmful information;
• register an account with another person's mobile number without authorization, or steal or impersonate another person's account;
• register accounts maliciously, such as by frequent or bulk registration;
• buy, sell, rent or transfer accounts, or otherwise allow others to use their account.

3.6 If a user account is suspected of violating this Agreement, the Rules or laws and regulations, or shows abnormal use or security risks, we may, depending on the circumstances, issue a warning, delete or reset the nickname and avatar, restrict account functions, suspend use or ban the account. When taking such measures, we will inform the user of the outcome and reasons through in-app messages, SMS or similar means. However, in urgent situations involving serious violations of law, threats to account or data security, or requirements of regulatory authorities, we may act first and notify the user promptly afterwards.

3.7 Users who disagree with a measure taken may appeal using the contact details in this Agreement and provide supporting materials. We will complete our review and reply within 15 working days of receiving the appeal; if the measure proves to have been taken in error, we will promptly restore the relevant functions or account.

3.8 We may reclaim an account that has not been logged in to for 12 consecutive months. We will give at least 30 days' notice by SMS or similar means before reclaiming it; if the user logs in during the notice period, the reclamation will be cancelled.

3.9 Users can apply to delete their account in "Me - Settings - Account & Security - Delete Account". After the application, the account enters a 30-day cooling-off period, during which the user can cancel the deletion by logging in again. When the cooling-off period ends, the account can no longer be recovered, and we will delete or anonymize the related personal information in accordance with the "Today English Privacy Policy". Deleting an account does not delete the learning data stored on the user's device.

4. User Conduct

4.1 When using "Today English", users shall comply with national laws and regulations, respect social morality, and not harm national interests, the public interest or the legitimate rights and interests of others.

4.2 Nicknames and avatars set by users, and feedback submitted by users, shall not contain any content that:

• opposes the basic principles established by the Constitution;
• endangers national security, discloses state secrets, subverts state power or undermines national unity;
• harms national honor and interests;
• promotes terrorism or extremism;
• incites ethnic hatred or discrimination, or undermines ethnic unity;
• undermines national religious policy or promotes cults and superstition;
• spreads rumors or disrupts economic or social order;
• spreads obscenity, pornography, gambling, violence, murder or terror, or incites crime;
• infringes the legitimate rights and interests of minors or harms their physical or mental health;
• insults or defames others, or infringes others' reputation, privacy, likeness, intellectual property or other legitimate rights and interests;
• contains any other content prohibited by laws and administrative regulations.

4.3 Users shall not use "Today English" to:

• call the service's word lookup, pronunciation, translation or other interfaces in bulk using crawlers, scripts or other automated means, or bypass or crack request signatures, rate limits or other security mechanisms;
• download or export the service's dictionary data, word audio, word lists, assessment questions or other content in bulk, or use them to train artificial intelligence models or build a comparable database;
• reverse engineer, decompile or disassemble "Today English", or create or distribute modified or cracked versions;
• republish, redistribute or commercially use third-party articles obtained through the service;
• spread computer viruses or malware, or otherwise interfere with or damage the normal operation of the service;
• impersonate us or our staff, or trick other users into providing verification codes, account details or similar information;
• engage in any other conduct that violates laws and regulations or this Agreement, or infringes the legitimate rights and interests of others.

4.4 Users are solely responsible for the content they set and submit. Where, in our judgment or based on complaints or reports, a user's content is suspected of violating laws and regulations, this Agreement or the Rules, we may delete or reset that content and, depending on the circumstances, take the measures described in Clause 3.6 against the account.

4.5 Users understand and agree that we have statutory obligations to manage network information security, and may handle relevant content, keep records and report to the competent authorities as required by laws, regulations and those authorities.

5. Intellectual Property

5.1 Intellectual property rights in the "Today English" application and its software, interface design, trademarks and logos, as well as the word lists, assessment questions, word audio and other content compiled by us, belong to the Company or the relevant rights holders and are protected by copyright, trademark and other laws. Some of the dictionary data used by the service comes from datasets published under open licenses, and the related rights are governed by those licenses.

5.2 Copyright and other rights in third-party articles read through the service belong to the original website or the relevant rights holders.

5.3 Users hold the relevant rights in the avatars and nicknames they set and the feedback they submit, and shall ensure that they have the legal right or authorization to use them. Users grant the Company a non-exclusive, royalty-free license to use such content to the extent necessary to provide, maintain and improve the service (for example, displaying avatars and nicknames in the app, and handling and analyzing feedback). The Company may use product feedback and suggestions from users to improve the product without paying any fee.

5.4 Without the written permission of the Company or the relevant rights holders, users shall not copy, distribute, modify, rent, transfer or sell any content of "Today English", delete or alter any copyright notice, use crawlers, robots or other automated programs to scrape or mirror the service's data, or use the service's content to train artificial intelligence models or build a comparable database.

5.5 A rights holder who believes that content in the service infringes their intellectual property rights may submit proof of rights and preliminary evidence using the contact details in this Agreement, and we will promptly take necessary measures in accordance with the Regulations on the Protection of the Right of Communication through Information Networks and other rules. A complainant whose erroneous notice causes damage to others shall bear liability in accordance with law.

5.6 A user whose breach of the intellectual property provisions of this Agreement causes losses to the Company or third parties shall compensate for those losses, including direct losses and reasonable expenses incurred to stop the infringement (including attorney fees, litigation fees and notarization fees).

6. Privacy

6.1 Protecting users' personal information is one of our basic principles. We collect, use, store, share and protect users' personal information in accordance with the "Today English Privacy Policy". Please read the "Today English Privacy Policy" carefully.

6.2 Users' learning data is stored only on their own devices and is never uploaded to our servers. We do not sell users' personal information.

6.3 We take reasonable security measures to protect users' personal information. However, users understand that, because of technical limitations and possible malicious attacks, no information on the Internet can be guaranteed to be 100% secure.

7. Protection of Minors

7.1 "Today English" is intended for English learners of all ages, including primary and secondary school students. Users under 14 shall use the service with the consent and under the guidance of their guardian; users aged 14 or over but under 18 shall use the service under the guidance of their guardian. Guardians should fulfill their guardianship duties and pay attention to how minors use the service.

7.2 Articles on the home page come from third-party news websites written for a general audience, not specifically for minors. Guardians should pay attention to and guide what minors read.

7.3 We recommend that minors plan their study time sensibly, take care of their eyesight and avoid using electronic devices continuously for long periods.

8. Disclaimers and Limitation of Liability

8.1 The operators of third-party news websites are responsible for their websites' content, advertisements, availability and handling of users' information. We are not liable where articles are inaccessible, content is inappropriate or users' rights and interests are harmed because of a third-party website, but we will provide necessary assistance within a reasonable scope.

8.2 We are not liable for service interruptions, defects, data loss or other losses caused by:

• computer viruses, trojans or other malware, or hacker attacks;
• failures of the user's or our software, systems, hardware or communication lines;
• improper operation by the user, or use of the service in a way not authorized by us;
• force majeure, including natural disasters, war, government action, changes in laws and regulations and public network failures;
• necessary technical work such as system maintenance and upgrades (we will try to announce these in advance);
• third-party service providers;
• any other circumstances not caused by our intentional misconduct or gross negligence.

8.3 Word definitions, AI translations, assessment results and recommendation sorting are all for learning reference only. We are not liable for losses suffered by users as a result of decisions made in reliance on them.

8.4 We are not liable for the loss of local learning data caused by the user uninstalling the app, clearing its data, or changing or losing the device, except where caused by our intentional misconduct or gross negligence.

8.5 To the extent permitted by law, our total liability to a user (whether in contract, tort or otherwise) shall not exceed the total fees actually paid by the user to us for the service in the twelve (12) months before the damage occurred, or RMB 100 if the user has paid nothing. However, this limit does not apply to property damage caused to the user by our intentional misconduct or gross negligence, or to personal injury, for which we bear liability in accordance with law.

8.6 Users who use the service for illegal activities bear full legal responsibility themselves. We may report to the relevant authorities, provide relevant records and cooperate with investigations in accordance with law; users shall compensate us for any losses caused to us as a result.

8.7 Measures we take against violating content or accounts in accordance with this Agreement and the Rules are a legitimate exercise of our management rights, and we bear no liability for breach of contract or compensation to users as a result.

9. Suspension and Termination of Service

9.1 We may suspend or terminate all or part of the service to a user who:

• violates this Agreement or applicable laws and regulations;
• engages in conduct that endangers national security, the public interest or the legitimate rights and interests of others;
• maliciously interferes with the normal operation of the service, or uses technical means to damage or attempt to damage the service;
• falls under any other circumstance required by laws and regulations or the competent authorities.

9.2 We may suspend or terminate all or part of "Today English" because of business adjustments, policy requirements or similar reasons. If we terminate the service entirely, we will announce it in the app at least 30 days in advance. After the service ends, local data already saved on the user's device remains in the user's own keeping.

9.3 After this Agreement terminates, we have no obligation to retain or provide any information in the user's account, except where the user lawfully requests a copy of their personal information.

9.4 Termination of this Agreement does not affect the provisions on Intellectual Property (Section 5), Disclaimers and Limitation of Liability (Section 8), User Indemnification (Section 11), Dispute Resolution (Section 12), or any other provisions that by their nature should survive.

10. Changes to the Agreement

10.1 We may amend this Agreement in response to changes in laws and regulations or to the service. The amended Agreement will be published in the app, and the "Last Updated" date at the top will be changed.

10.2 For material changes that reduce users' main rights or add to their obligations, we will notify users prominently before they take effect, for example with a pop-up or in-app notice.

10.3 Users who do not agree with the amended Agreement should stop using the service and may apply to delete their account. Continuing to use the service after the changes take effect constitutes acceptance of the amended Agreement.

11. User Indemnification

11.1 Where a user's breach of this Agreement, violation of laws and regulations or infringement of third-party rights causes us, our affiliates, partners or employees to suffer losses or incur liability (including compensation paid to third parties, fines, and reasonable attorney fees, litigation fees and notarization fees), the user shall compensate for them.

11.2 If we face third-party claims, complaints or administrative investigations because of a user's violation, we may require the user to handle the matter in their own name, or handle it ourselves and recover the resulting losses and reasonable expenses from the user.

12. Dispute Resolution

12.1 The conclusion, effectiveness, interpretation, performance, amendment and termination of this Agreement, and the resolution of disputes, are governed by the laws of mainland China.

12.2 Any dispute arising from this Agreement shall first be resolved through friendly negotiation. If negotiation fails, either party may bring a lawsuit before the people's court with jurisdiction over the domicile of Wuhan Guanshandu Technology Co., Ltd.

12.3 While a dispute is being resolved, both parties shall continue to perform the undisputed provisions of this Agreement.

13. Notices and Service

13.1 We may send notices to users through in-app announcements, system messages, or SMS to the mobile number bound to the user's account. Notices sent electronically are deemed delivered when successfully sent.

13.2 Users shall ensure that the mobile number bound to their account is genuine and valid. Users bear the consequences of failing to receive notices because their number is incorrect or no longer valid.

14. Miscellaneous

14.1 The headings in this Agreement are for convenience only and do not affect the meaning or interpretation of any provision.

14.2 If any provision of this Agreement is held wholly or partly invalid or unenforceable, the remaining provisions remain in effect.

14.3 Our failure or delay in exercising any right under this Agreement does not constitute a waiver of that right.

14.4 This Agreement is signed in Hongshan District, Wuhan, Hubei Province, People's Republic of China.

14.5 This Agreement is provided in Chinese and English. In case of any inconsistency between the two versions, the Chinese version prevails.
